Welcome to GTStudios LLC (“GTStudios,” “we,” “our,” or “us”). By accessing or using our websites, products, or services (the “Services”), you agree to be bound by these Terms of Service (“Terms”). Please read them carefully.
1. Acceptance of Terms
By using GTStudios Services, you confirm that you:
- Are at least 18 years old (or of legal age in your jurisdiction).
- Have the authority to enter into these Terms on behalf of yourself or your organization.
- Agree to comply with all applicable laws and regulations.
If you do not agree, you may not use our Services.
2. Services Provided
GTStudios offers:
- Custom application and website design & development.
- Digital media production and creative services.
- Rapid prototyping and technical consulting.
Project scopes, deliverables, and timelines are defined in separate agreements, proposals, or contracts between GTStudios and the client.
3. User Responsibilities
When engaging with GTStudios, you agree to:
- Provide accurate and complete information required for us to deliver Services.
- Not misuse our Services (e.g., unlawful activities, spreading malicious software, or violating intellectual property rights).
- Comply with any specific project or platform guidelines provided by GTStudios.
4. Payments and Billing
- Payment terms (e.g., deposits, milestones, final payment) will be outlined in a written proposal or agreement.
- All fees are due as specified. Late payments may incur additional charges or suspension of Services.
- Payments are non-refundable unless otherwise agreed in writing.
5. Intellectual Property
- Client Materials: You retain ownership of all materials you provide to GTStudios.
- Deliverables: Upon full payment, you own the final deliverables created by GTStudios for your project, unless otherwise stated.
- Pre-existing IP & Tools: GTStudios retains ownership of its pre-existing frameworks, code libraries, designs, or processes used in the course of delivering Services.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared during a project. This includes business data, project details, and trade secrets.
7. Warranties and Disclaimers
GTStudios provides Services “as-is” and makes no guarantees that:
- Deliverables will be error-free or uninterrupted.
- Results of Services will meet all business goals or expectations.
We disclaim all implied warranties to the fullest extent permitted by law.
8. Limitation of Liability
To the maximum extent allowed by law:
- GTStudios is not liable for indirect, incidental, or consequential damages.
- Our total liability for any claim relating to the Services will not exceed the amount paid by the client for those Services.
9. Termination
Either party may terminate an engagement if the other breaches these Terms or any project agreement. Upon termination:
- The client remains responsible for payment of Services provided up to termination.
- Any work-in-progress may be delivered at GTStudios’ discretion.
10. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.
11. Changes to Terms
GTStudios may update these Terms from time to time. Updates will be posted with an updated “Effective Date.” Continued use of the Services indicates acceptance of the revised Terms.
